The services, deliveries, and offers of GTD Global Trade Dynamics FZCO ("Global Trade Dynamics FZCO") are governed exclusively by these General Terms and Conditions (GTD). These apply to all business relationships between Global Trade Dynamics FZCO and its customers, provided the customer is a business entity or a legal entity under public law. Deviating or supplementary terms and conditions of the customer do not apply unless Global Trade Dynamics FZCO has expressly agreed in writing. These GTD also apply to future business relationships, even if not expressly agreed upon again. Changes to the GTD will be communicated in writing or by email and are deemed accepted unless objected to within four weeks.

All offers by Global Trade Dynamics FZCO are non-binding and subject to change unless expressly stated otherwise. A customer’s written order constitutes a binding offer, which may be accepted by Global Trade Dynamics FZCO through written confirmation or by implied actions, such as providing services. Changes or additions to the contract must be made in writing. Adjustments to the scope of services will be coordinated with the customer and incorporated into the agreement accordingly.

Global Trade Dynamics FZCO provides services to the best of its ability but does not guarantee specific outcomes unless explicitly agreed in writing. Changes to the scope of services require mutual written consent. Customers must provide all necessary information and permissions promptly. Any delays or additional costs resulting from failure to comply will be the customer's responsibility.

Delivery dates are non-binding unless explicitly confirmed in writing. Delays caused by force majeure or other unforeseen events extend deadlines accordingly. In case of delay, the customer must grant a reasonable grace period. Liability for damages due to delays is limited to statutory provisions.

Global Trade Dynamics FZCO may delegate services to qualified third parties. The customer’s engagement of third parties requires prior written approval. Responsibility for third-party services rests solely with the contracting party.

Payment terms are outlined in the individual offer. Additional services or adjustments to the project are billed separately. Payments are due within 14 days of invoice issuance. Delays caused by incomplete customer-provided information may incur additional charges.

Payments are due within 14 days unless otherwise agreed. In case of default, interest of 9 percentage points above the base interest rate applies. Offsetting claims is permitted only for undisputed or legally established claims.

The contract ends upon completion of the assignment unless specified otherwise. Termination for good cause may occur without notice. Termination declarations must be in writing. Services already rendered are to be compensated appropriately.

Work created by Global Trade Dynamics FZCO, including designs and concepts, remains its property unless otherwise agreed. Usage rights are granted upon full payment and are limited to the agreed purpose.

Global Trade Dynamics FZCO warrants proper and contract-compliant service delivery. Warranty claims must be reported in writing within one week of service receipt. Liability for minor deviations is excluded.

Global Trade Dynamics FZCO is liable for damages only in cases of intent or gross negligence. Liability for simple negligence is limited to typical foreseeable damages. Indirect damages and lost profits are excluded.

Both parties must treat confidential information as such, even after the contract ends. This does not apply to publicly known information or legally mandated disclosures.

Global Trade Dynamics FZCO processes customer data in compliance with applicable data protection laws. Customers agree to the use of their data for contractual purposes.

Changes to these GTD must be made in writing. If any provision is invalid, the remaining provisions remain unaffected. The law of the United Arab Emirates applies. The place of jurisdiction for disputes is Dubai.
